QuickConnex LLC - Renovation Loan Management Platform

IMPORTANT - PLEASE READ CAREFULLY
These Terms and Conditions ("Terms") govern your access to and use of the RenoDesk renovation loan management platform, website, and related services (collectively, the "Platform") provided by QuickConnex LLC.
BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.
1. Acceptance of Terms
1.1 Agreement to Terms
These Terms constitute a legally binding agreement between you and QuickConnex concerning your access to and use of the Platform. By accessing or using the Platform, you agree to be bound by these Terms and all incorporated policies.

These Terms incorporate by reference:
- Services Agreement (for paying customers)
- End User License Agreement (EULA)
- Privacy Policy
- Acceptable Use Policy
- Cookie Policy
1.3 Eligibility
You must be at least 18 years old and have the legal authority to enter into agreements to use the Platform. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization.
2. ⚠️ Professional Licensing Notice
2.1 Technology Platform Only
IMPORTANT: QuickConnex provides software tools only. We are NOT:
- A licensed mortgage lender, broker, or loan originator
- A licensed general contractor or specialty contractor
- A licensed home inspector or engineering firm
- A licensed real estate appraiser or appraisal management company
- A provider of legal, financial, tax, or regulatory advice
2.2 User Licensing Requirements
All users are required to:
- Maintain appropriate professional licenses for their activities
- Verify state and local licensing requirements independently
- Comply with all applicable federal and state regulations
- Update license information when requested
2.3 Compliance Disclaimer
Use of the Platform does not satisfy licensing requirements or ensure regulatory compliance. Users operating without required licenses may face civil and criminal penalties.
3. Account Registration and Management
3.1 Account Creation
To access certain features, you must create an account by providing:
- Accurate and complete registration information
- Valid email address and contact information
- Professional license information (where applicable)
- Payment information for paid subscriptions
3.2 Account Responsibilities
You agree to:
- Maintain the confidentiality of your login credentials
- Notify us immediately of any unauthorized access
- Keep your account information current and accurate
- Accept responsibility for all activities under your account
- Ensure all users under your account comply with these Terms
3.3 Account Suspension/Termination
We may suspend or terminate accounts that:
- Violate these Terms or related policies
- Engage in fraudulent or illegal activities
- Operate without required professional licenses
- Fail to pay required fees
- Remain inactive for 90+ days
4. Subscription Plans and Billing
4.1 Free Trial
New users may receive a 14-day free trial of our Professional plan features. The trial automatically converts to a paid subscription unless cancelled before expiration.
4.2 Professional Plan - $999/month
- Up to 100 Authorized Users
- Unlimited active renovation projects
- 500GB document storage
- Dedicated, US-based account manager
- Phone support during business hours
- Priority technical support
- Advanced API access
- Custom reporting capabilities
- Single sign-on (SSO) integration
4.3 Billing and Payment
- Subscriptions billed monthly in advance
- Payment by credit card or ACH
- Annual prepayment receives 10% discount
- All fees are non-refundable
- Automatic renewal unless cancelled
- Late payment may result in service suspension
4.4 Usage Overages
- Additional users: $29/user/month
- Extra storage: $10/month per 10GB
- Overage charges billed automatically
4.5 Price Changes
We may change subscription prices with 60 days advance notice. Changes take effect at your next billing cycle.
5. Acceptable Use Policy
5.1 Permitted Uses
You may use the Platform to:
- Manage renovation loan projects and workflows
- Store and organize project documentation
- Facilitate communication between authorized project stakeholders
- Generate reports and track project progress
- Coordinate inspections and contractor activities
- Process loan applications and supporting documentation
5.2 Prohibited Activities
(a) Legal Violations:
- Use the Platform for illegal purposes
- Violate any applicable laws or regulations
- Operate without required professional licenses
- Engage in money laundering or fraud
(b) Technical Abuse:
- Attempt to hack, disrupt, or gain unauthorized access
- Use automated tools to scrape or mine data
- Upload malicious code, viruses, or harmful content
- Reverse engineer or decompile the Platform
- Exceed usage limits or share credentials
(c) Content Violations:
- Upload false, misleading, or fraudulent information
- Submit content that infringes intellectual property rights
- Share confidential information without authorization
- Post discriminatory, harassing, or threatening content
(d) Commercial Abuse:
- Resell or sublicense Platform access
- Use the Platform to develop competing services
- Market services you're not licensed to provide
- Spam or solicit other users inappropriately
6. User Content and Data
6.1 Your Content Ownership
You retain ownership of all data, documents, and content you submit to the Platform ("User Content"). This includes loan applications, property information, photos, inspection reports, and communications.
6.2 License to Use Your Content
By submitting User Content, you grant us a limited, non-exclusive license to:
- Store, process, and transmit your content to provide the Platform services
- Display your content to authorized users in your organization
- Create backups and ensure data security
- Generate analytics and improve Platform functionality
6.3 Content Responsibilities
You represent and warrant that:
- You own or have rights to all User Content
- Your User Content does not infringe third-party rights
- User Content is accurate and not misleading
- You have obtained necessary consents for personal data
- Content complies with all applicable laws and regulations
7. Platform Availability and Updates
7.1 Service Availability
We strive to maintain 99% uptime but cannot guarantee uninterrupted service. The Platform may be unavailable due to:
- Scheduled maintenance (with advance notice)
- Technical difficulties or system failures
- Internet service provider issues
- Force majeure events
7.2 Scheduled Maintenance
Scheduled maintenance will be performed:
- During off-peak hours when possible
- With at least 48 hours advance notice
- Limited to 4 hours per month maximum
- With status updates during maintenance
8. Intellectual Property Rights
8.1 QuickConnex's Intellectual Property
The Platform and all related intellectual property are owned by QuickConnex, including:
- Software code, algorithms, and architecture
- User interfaces, workflows, and design elements
- Trademarks, logos, and branding materials
- Documentation, training materials, and methodologies
- Trade secrets and proprietary processes
8.2 Limited License to Users
We grant you a limited, non-exclusive, non-transferable license to access and use the Platform solely for your internal business purposes during your subscription term.
8.3 DMCA Compliance
We respond to copyright infringement notices under the Digital Millennium Copyright Act (DMCA). To report infringement, email legal@quickconnex.tech.
9. Privacy and Data Protection
9.1 Privacy Policy
Our collection, use, and protection of your information is governed by our Privacy Policy, which is incorporated by reference into these Terms.
9.2 Data Security
We implement industry-standard security measures including:
- 256-bit SSL encryption for data in transit
- AES-256 encryption for data at rest
- Multi-factor authentication options
- Regular security audits and monitoring
- SOC 2 Type II compliance
9.3 GLBA Compliance
As a service provider handling financial information, we:
- Maintain appropriate safeguards for nonpublic personal information
- Comply with Gramm-Leach-Bliley Act requirements
- Provide incident notification as required
- Support customer compliance obligations
9.4 Data Location
All user data is stored in secure data centers located within the United States and is not transferred outside the US without explicit consent.
9.5 Data Retention
- Active subscription data is retained during the service term
- Data is available for export for 30 days post-termination
- Data may be permanently deleted 90 days after termination
- Legal compliance may require longer retention periods
10. Regulatory Compliance
10.1 Financial Services Regulations
Users must comply with applicable regulations including:
- Gramm-Leach-Bliley Act (GLBA) - Financial privacy and data security
- Real Estate Settlement Procedures Act (RESPA) - Settlement service disclosures
- Truth in Lending Act (TILA) - Credit cost disclosures
- Fair Credit Reporting Act (FCRA) - Credit reporting requirements
- Bank Secrecy Act (BSA) - Anti-money laundering compliance
10.2 State and Local Requirements
Users are responsible for compliance with:
- State mortgage lending and broker licensing laws
- State contractor licensing and bonding requirements
- State home inspection licensing regulations
- Municipal and county permit requirements
- Professional certification requirements
10.3 No Compliance Warranty
WE DO NOT WARRANT THAT USE OF THE PLATFORM ENSURES REGULATORY COMPLIANCE. COMPLIANCE IS SOLELY YOUR RESPONSIBILITY.
11. Support and Customer Service
11.1 Support Channels

- Knowledge Base: Available 24/7 through the Platform
- Phone Support: Available for Professional customers
- Account Management: Available for Professional customers
11.2 Response Time Targets
Response time: 48 hours for general inquiries, 8 hours for critical issues
11.3 Support Scope
Support includes:
- Technical assistance with Platform features
- Account setup and configuration help
- Billing and subscription questions
- Bug reports and feature requests
Support does NOT include:
- Legal or regulatory compliance advice
- Custom software development
- Data migration services
- Third-party integration support
12. Warranties and Disclaimers
12.1 Limited Service Warranty
We warrant that the Platform will perform substantially in accordance with our published documentation under normal use conditions.
12.2 Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED, THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
- WARRANTIES OF MERCHANTABILITY AND FITNESS FOR PURPOSE
- WARRANTIES OF NON-INFRINGEMENT
- WARRANTIES OF ACCURACY OR RELIABILITY
- WARRANTIES OF UNINTERRUPTED OR ERROR-FREE OPERATION
- WARRANTIES OF SECURITY OR FREEDOM FROM VIRUSES
- WARRANTIES OF REGULATORY COMPLIANCE
12.3 No Professional Advice
The Platform does not provide legal, financial, tax, or regulatory advice. You should consult qualified professionals for such advice.
13. Limitation of Liability
13.1 Damages Limitation
OUR TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE FEES YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
13.2 Excluded Damages
WE SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
- LOSS OF PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES
- LOSS OF DATA OR INFORMATION
- BUSINESS INTERRUPTION
- REGULATORY FINES OR PENALTIES
- THIRD-PARTY CLAIMS
13.3 Exceptions
These limitations do not apply to:
- Our gross negligence or willful misconduct
- Death or personal injury caused by our negligence
- Claims that cannot be limited by law
14. Indemnification
14.1 Your Indemnification
You agree to defend, indemnify, and hold us harmless from claims arising from:
- Your use of the Platform
- Your violation of these Terms
- Your User Content
- Your violation of applicable laws
- Your failure to maintain required licenses
- Claims by third parties related to your business activities
14.2 Our Indemnification
We will defend you against claims that the Platform infringes third-party intellectual property rights, subject to limitations in our Services Agreement.
15. Termination
15.1 Termination by You
You may terminate your account at any time by:
- Canceling your subscription through account settings
- Contacting customer support
- Providing written notice
15.2 Termination by Us
We may terminate or suspend your account for:
- Violation of these Terms
- Non-payment of fees
- Illegal or fraudulent activity
- Operating without required licenses
- Inactivity for 90+ days
15.3 Effect of Termination
Upon termination:
- Your access ends immediately
- You may export your data for 30 days
- We may delete your data after 90 days
- Payment obligations survive termination
16. Dispute Resolution
16.1 Governing Law
These Terms are governed by Ohio state law without regard to conflict of law principles.
16.2 Arbitration
Disputes shall be resolved through binding arbitration under American Arbitration Association Commercial Rules in Summit County, Ohio.
16.3 Class Action Waiver
You agree that disputes will be resolved individually and not as part of a class action.
16.4 Exceptions
Either party may seek injunctive relief in court for:
- Intellectual property violations
- Confidentiality breaches
- Account payment issues
17. Changes to Terms
17.1 Modification Rights
We may update these Terms at any time. Material changes will be communicated via:
- Email notification to registered address
- In-platform announcement
- Updated effective date
17.2 Notice Period
- Minor changes: 30 days advance notice
- Material changes: 60 days advance notice
- Price changes: 60 days advance notice
17.3 Acceptance
Continued use of the Platform after the notice period constitutes acceptance of modified Terms.
18. General Provisions
- Entire Agreement: These Terms, together with incorporated policies, constitute the entire agreement regarding the Platform.
- Severability: If any provision is unenforceable, the remainder remains in effect.
- Waiver: No waiver is effective unless in writing. Waiver of one breach does not waive other breaches.
- Assignment: You may not assign these Terms without our consent. We may assign in connection with business transfers.
- Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control.
- Export Compliance: You agree to comply with applicable export control laws.
- Language: These Terms are in English, which controls over any translations.
